Article 1 - Definitions

In these general terms and conditions the following terms shall have the following meaning, unless expressly indicated otherwise.

  1. Offer: any offer by Seller to supply Products, as displayed on the Website or otherwise made known to Buyer, with which these general terms and conditions are inseparably connected.

  2. Cooling-off Period: the period of fourteen days within which Buyer may exercise the Right of Withdrawal, calculated in accordance with article 5 paragraph 1.

  3. Consumer: the natural person who is not acting in the course of a profession or business.

  4. Right of Withdrawal: the right of Buyer to rescind the Agreement within the Cooling-off Period without giving reasons.

  5. Buyer: the Consumer who enters into a distance Agreement with Seller.

  6. Discount Code: a code issued by Seller by means of which Buyer obtains a discount on the purchase price, subject to the conditions set out in these general terms and conditions and at the time of issue.

  7. Custom-made Product: a Product that is not prefabricated and that is made or adapted in accordance with Buyer's specifications on the basis of an individual choice or decision of Buyer, or that is clearly intended for Buyer personally, including in any event a wig that, after the order, is dyed, cut, styled or provided with an adapted hairline, lace or cap at Buyer's request.

  8. Model Withdrawal Form: the form made available by Seller on the Website by means of which Buyer may exercise the Right of Withdrawal.

  9. Agreement: the distance contract of sale for the sale and delivery of Products by Seller to Buyer.

  10. Parties: Seller and Buyer jointly.

  11. Products: the wigs and hairpieces of human or synthetic hair, lace systems, hair extensions, fixing products, care products and related accessories offered by Seller.

  12. In Writing: any communication in writing, including any communication by electronic means that can be stored on a durable medium and the authenticity of the sender of which can be sufficiently established.

  13. Seller: She is wearing it, trade name of NJBConsultancy, the supplier of Products to Buyer.

  14. Sealed Product: any Product that is not suitable for return after opening for reasons of health protection or hygiene, that Seller delivers provided with a Seal and that is designated as such in the Offer, such as care products, glue, tape and other fixing products. Seller does not deliver wigs as a Sealed Product.

  15. Seal: the seal applied by Seller on or around a Sealed Product or the packaging thereof, applied in such a manner that it cannot be removed without visible damage, and intended to make apparent whether the Sealed Product has been opened, taken out or handled after delivery.

  16. Website: the web shop of Seller, accessible via sheiswearingit.com, as well as any other sales environment operated by Seller.

Article 2 - Applicability

  1. These general terms and conditions apply to every Offer by Seller, to every Agreement between Seller and Buyer and to every Product offered by Seller.

  2. Seller contracts exclusively with Consumers. If a purchaser, contrary to the foregoing, acts in the course of a profession or business when entering into the Agreement, or subsequently appears to have so acted, these general terms and conditions shall apply mutatis mutandis to that agreement, on the understanding that the provisions that serve exclusively to protect the Consumer, including in any event article 5, article 7 paragraph 2, article 9 paragraph 2, article 9 paragraph 3 and article 9 paragraph 5, shall then not apply, and that Seller shall be entitled to rescind the Agreement with immediate effect, refunding the payments already received less the costs incurred by Seller.

  3. Seller makes these general terms and conditions available to Buyer by electronic means prior to or upon the conclusion of the Agreement, in such a manner that Buyer can easily store them on a durable medium. Buyer expressly accepts these general terms and conditions in the ordering process. Seller also encloses these general terms and conditions with the confirmation of the Agreement and records the moment at which, and the version in which, Buyer accepted the terms and conditions.

  4. These general terms and conditions have been drawn up in the Dutch language and are also made available by Seller in an English translation. In the event of any discrepancy between the two versions, the Dutch text shall prevail, to the extent that mandatory law does not preclude this.

  5. In exceptional situations these general terms and conditions may be departed from, but only if this has been expressly agreed In Writing with Seller.

  6. These general terms and conditions also apply to supplementary, amended and follow-up agreements with Buyer.

  7. If one or more provisions of these general terms and conditions are wholly or partly void or are annulled, the remaining provisions shall remain in full force. Parties shall in that case enter into consultation in order to replace the void or annulled provision by a valid provision having the same purport.

  8. Ambiguities as to the content or interpretation of these general terms and conditions, as well as situations not governed by them, shall be assessed and interpreted in the spirit of these general terms and conditions. If a provision is open to more than one interpretation, the interpretation most favourable to Buyer shall always prevail over the standard referred to in the previous sentence, in accordance with article 6:238 paragraph 2 of the Dutch Civil Code.

  9. Where these general terms and conditions refer to she or her, this shall also be read as a reference to he, him or his, if and to the extent applicable.

Article 3 - The Offer

  1. Every Offer by Seller is without obligation and applies while stocks last, unless expressly stated otherwise in the Offer. If the Offer has a limited period of validity or is made subject to specific conditions, this shall be expressly stated in the Offer.

  2. The Offer contains a complete and accurate description of the Product offered, stating the price including the taxes payable by law, without prejudice to the provisions of article 10 paragraph 2, as well as the method of delivery, the delivery period, the shipping costs and the method of payment. The description is sufficiently detailed to enable Buyer to make a proper assessment of the Offer.

  3. For every Product in respect of which the Right of Withdrawal is excluded pursuant to article 5 paragraph 3 or article 5 paragraph 4, that exclusion shall be stated expressly and clearly in the Offer, as well as the fact that the Product is made as a Custom-made Product or is delivered as a Sealed Product.

  4. The Products consist wholly or partly of natural hair. Buyer is aware that natural hair is a natural product and that images on the Website give only an indication of colour, shine, texture, density and curl pattern. Minor deviations between the image and the Product delivered, as well as minor differences in colour and texture between individual items, are inherent in the nature of the Product and form part of what Parties have agreed. A minor deviation shall in any event include a deviation in length of no more than [number] centimetres from the stated measurement, as well as a deviation in colour within the range of the colour code stated in the Offer. Seller states for each Product the colour code used and the method of measurement. This provision does not affect the statutory rights of Buyer under article 7:17 of the Dutch Civil Code.

  5. Manifest errors or slips of the pen in the Offer, including manifestly incorrect price indications, do not bind Seller. Buyer cannot derive any rights from such an error or slip of the pen if Buyer should reasonably have understood that an error was involved.

  6. A composite price quotation does not oblige Seller to deliver part of the Products included in the Offer against a proportionate part of the price quoted.

  7. A special offer does not automatically apply to repeat orders. When announcing a price reduction, Seller states the lowest price applied by Seller in the thirty days preceding the price reduction.

Article 4 - Formation of the Agreement

  1. The Agreement is formed at the moment at which Buyer accepts the Offer by electronic means by placing an order and thereby expressly confirming that the order entails an obligation to pay.

  2. Seller confirms receipt of the acceptance without delay by electronic means. As long as receipt of the acceptance has not been confirmed by Seller, Buyer may rescind the Agreement in accordance with article 6:227c paragraph 2 of the Dutch Civil Code.

  3. Upon or immediately after the confirmation referred to in paragraph 2, Seller shall provide all information that Seller is required by law to provide to Buyer, including the conditions under which and the manner in which Buyer may exercise the Right of Withdrawal, or the notification that the Right of Withdrawal is excluded, as well as the Model Withdrawal Form.

  4. If the acceptance deviates from the Offer, even on subordinate points, Seller is not bound by it.

  5. Seller is entitled to refuse an order or to attach special conditions to its performance, if there are proper grounds for doing so. Proper grounds shall in any event include a reasonable suspicion of abuse of the Right of Withdrawal, of return fraud, of resale in the course of a profession or business, or the impossibility of delivering to the country of destination. Seller shall communicate a refusal without delay and with reasons and shall refund any payments already received within fourteen days.

  6. Seller sells exclusively to Consumers who are eighteen years of age or older or who act with the consent of their legal representative. By placing an order Buyer declares that Buyer meets this requirement. If Buyer had not yet reached the age of eighteen years when entering into the Agreement and acted without the consent of Buyer's legal representative, Seller shall be entitled to rescind the Agreement and to reclaim the Products already delivered, refunding the payments already received, without prejudice to the power of the legal representative to annul the Agreement pursuant to article 1:234 in conjunction with article 3:32 of the Dutch Civil Code.

Article 5 - Right of Withdrawal, Custom-made Products and Sealed Products

  1. Buyer has the right to rescind the Agreement without giving reasons during a period of fourteen days, counting from the day on which Buyer or a third party designated by Buyer, not being the carrier, has taken physical possession of the Product. If the order consists of several Products with different delivery times, the Cooling-off Period commences on the day on which Buyer received the last Product.

  2. Buyer exercises the Right of Withdrawal by addressing an unequivocal statement to Seller within the Cooling-off Period. Buyer may use the Model Withdrawal Form for that purpose but is not obliged to do so. The burden of proof of the timely and proper exercise of the Right of Withdrawal rests on Buyer.

  3. In accordance with article 6:230p under f, sub 1 of the Dutch Civil Code, Buyer has no Right of Withdrawal for Custom-made Products. A wig that Seller delivers from stock is not a Custom-made Product, even if Buyer chooses one of the standard versions stated in the Offer when ordering. Before the order is placed, Seller states expressly and clearly that a Product is made as a Custom-made Product and that Buyer has no Right of Withdrawal for it, and repeats that statement in the confirmation referred to in article 4 paragraph 3.

  4. In accordance with article 6:230p under f, sub 3 of the Dutch Civil Code, Buyer has no Right of Withdrawal for a Sealed Product the Seal of which has been broken after delivery, because that Product is not suitable for return for reasons of health protection or hygiene. Seller states this exclusion expressly and clearly in the Offer, in the confirmation referred to in article 4 paragraph 3 and on the packaging of the Product, and in doing so informs Buyer that breaking the Seal has the consequence that the Product cannot be returned.

  5. For all other Products, including wigs that Seller delivers from stock, as well as for Sealed Products the Seal of which is unbroken, Buyer may exercise the Right of Withdrawal in full. During the Cooling-off Period Buyer may try on a wig briefly and carefully in order to establish its nature, characteristics and functioning. Buyer shall try on the wig indoors, with clean hands, on clean and dry hair or a clean scalp and preferably over a hair net, without any make-up, glue, tape, gel, oil, perfume or other products on the scalp or in the hair. Buyer shall leave the lace, the cap, the hair, the labels and the protective materials unaltered.

  6. With regard to the Products in respect of which the Right of Withdrawal is not excluded, Buyer shall handle the Product and its packaging with care during the Cooling-off Period. If Buyer handles the Product beyond what is necessary to establish its nature, characteristics and functioning, Buyer shall be liable for the resulting diminished value, in accordance with article 6:230s paragraph 3 of the Dutch Civil Code. Handling beyond that limit shall in any event include cutting, trimming, thinning or plucking the lace or the hair, washing, dyeing, bleaching, perming, blow-drying or styling with heat sources, applying glue, tape, clips or other fixing products, removing labels or protective materials, as well as wearing the Product other than for a brief fitting as referred to in paragraph 5. If, as a result of such handling, Seller can no longer sell a returned wig as new, such as a wig the lace of which has been cut or trimmed, the diminished value may amount to the sum paid by Buyer for that wig. Seller determines the diminished value on the basis of the actual condition of the Product. Seller has informed Buyer prior to the formation of the Agreement in accordance with article 6:230m paragraph 1 under h of the Dutch Civil Code.

  7. Buyer shall return the Product within fourteen days of the statement referred to in paragraph 2, in accordance with the return instructions provided by Seller. Buyer shall return the Product as far as possible complete with all accessories and in the original packaging. The absence of the original packaging or of accessories does not affect the validity of the rescission but may lead to diminished value in accordance with paragraph 6. The direct costs of the return shipment are borne by Buyer. Seller has informed Buyer of this prior to the formation of the Agreement.

  8. Seller shall reimburse all payments made by Buyer, including the costs of delivery to Buyer up to the amount of the cheapest standard delivery offered by Seller, within fourteen days of the day on which Buyer invoked the rescission. Seller shall reimburse using the same means of payment as that used by Buyer, unless Buyer expressly agrees to another means of payment. No costs shall be charged to Buyer for the reimbursement. Seller does not charge any restocking, processing or administration costs in connection with the withdrawal.

  9. Seller is entitled to withhold reimbursement until Seller has received the Product or until Buyer has demonstrated that the Product has been returned, whichever occurs earlier. Seller is furthermore entitled to examine the condition, the completeness and the authenticity of the returned Product before proceeding to reimbursement, on the understanding that such examination does not extend the period referred to in paragraph 8. Seller is entitled to deduct the diminished value established pursuant to paragraph 6 from the amount to be reimbursed, whereby Seller shall give proper reasons for the diminished value established.

  10. Upon exercise of the Right of Withdrawal, the ancillary agreements connected with the Agreement shall likewise be rescinded by operation of law, at no cost to Buyer, in accordance with article 6:230u of the Dutch Civil Code.

Article 6 - Performance of the Agreement

  1. Seller shall perform the Agreement to the best of Seller's knowledge and ability and shall take appropriate measures to safeguard the quality, the safety and the hygiene of the Products.

  2. Seller is entitled to have the Agreement performed wholly or partly by third parties, including carriers, payment service providers and fulfilment service providers.

  3. Buyer shall ensure that all data of which Seller states that they are necessary, or of which Buyer should reasonably understand that they are necessary for the performance of the Agreement, are provided to Seller in good time and correctly. This includes in any event a complete and correct delivery address.

  4. Seller is not liable for damage arising because Seller relied on incorrect or incomplete data provided by Buyer, unless such incorrectness or incompleteness was apparent to Seller, subject to the provisions of article 17 paragraph 6.

  5. Buyer is liable for the costs and the damage incurred by Seller as a result of Buyer providing an incorrect or incomplete delivery address or incorrect or incomplete data for the purposes of the customs declaration, including the costs of re-shipment, return transport, storage, fines and levies. Seller is entitled to set off these costs against any amounts owed by Seller to Buyer.

  6. Before proceeding to perform the Agreement, Seller may require payment in full in advance, without prejudice to the provisions of article 11 paragraph 2.

Article 7 - Delivery

  1. Seller shall deliver the Product without delay and in any event no later than thirty days after the formation of the Agreement, unless a longer delivery period has been agreed and stated in the Offer.

  2. If Seller does not deliver within the agreed period, Buyer shall request Seller to deliver within an additional period proportionate to the circumstances. If Seller also fails to deliver within that additional period, Buyer may rescind the Agreement in accordance with article 7:19a of the Dutch Civil Code. Buyer may rescind the Agreement without an additional period if Seller has refused to deliver, if the agreed period is a strict deadline, or if Buyer informed Seller prior to the formation of the Agreement that delivery within the agreed period was essential.

  3. The place of delivery is the address made known by Buyer to Seller. Seller ships the Products with a carrier selected by Seller.

  4. Seller charges the shipping costs separately. The shipping costs are made known to Buyer before Buyer definitively places the order.

  5. Seller is entitled to deliver in instalments if the order comprises several Products, unless the partial delivery has no independent value. No additional shipping costs shall be charged to Buyer for a partial delivery.

  6. Seller delivers worldwide, with the exception of destinations to which Seller cannot or may not deliver on the basis of statutory provisions, export restrictions, sanctions measures or transport restrictions. Seller states on the Website to which countries delivery takes place.

  7. In the case of delivery outside the European Union, import duties, import taxes, excise duties, customs clearance costs and other levies of the country of destination are borne by Buyer, unless expressly stated otherwise in the Offer. Buyer is responsible for the accuracy of the data required for customs clearance.

  8. If a shipment outside the European Union is refused by Buyer or is not collected, and the shipment is returned to Seller as a result, the costs of return transport, storage and any levies are borne by Buyer, and Seller is entitled to set these off against any amounts owed by Seller to Buyer. If Buyer refuses the shipment while simultaneously or subsequently exercising the Right of Withdrawal, only the direct costs of the return shipment referred to in article 5 paragraph 7 are borne by Buyer, together with the levies already payable in the country of destination that are no longer eligible for refund. This provision does not otherwise affect the Right of Withdrawal of Buyer.

  9. Seller ships exclusively by a shipping method that provides for registration of delivery, and makes the data relating thereto available to Buyer upon first request.

Article 8 - Packaging, Seal and transport

  1. Seller undertakes towards Buyer to package the Products properly and to secure them in such a manner that they reach their destination in good condition under normal transport.

  2. Seller applies a Seal on or around every Sealed Product or the packaging thereof. The Seal bears a clearly legible statement of the consequences of breaking it for the Right of Withdrawal.

  3. Seller records for each shipment which Seal is connected to which Product and to which order, as well as the condition in which the Product was shipped, and retains that record for at least two years after delivery. Seller makes this record available to Buyer upon first request. The assessment of these data as evidence rests with the court.

  4. The packaging and the packaging material are included in the price. The shipping costs are not included in the price and are charged separately in accordance with article 7 paragraph 4.

  5. If the Seal is already broken or damaged upon receipt, Buyer shall notify Seller thereof without delay and in any event within forty-eight hours of receipt, submitting photographic evidence. In that case the Seal shall be deemed not to have been broken by Buyer and the Right of Withdrawal shall remain intact, unless Seller demonstrates that the Seal was broken by or on behalf of Buyer after receipt.

Article 9 - Examination and complaints

  1. Buyer shall examine the delivered goods upon receipt and shall thereby verify whether the quality and the quantity of the delivered goods correspond to the Agreement. In the case of a Sealed Product this examination shall take place without breaking the Seal, in so far as that is possible. If Buyer breaks the Seal in order to establish a suspected defect, the Right of Withdrawal lapses in accordance with article 5 paragraph 4, but this does not affect the rights of Buyer under article 13 and under article 7:17 et seq. of the Dutch Civil Code. No duty of examination beyond that arising from the law rests on Buyer.

  2. Buyer shall notify Seller of a defect within a reasonable period after discovery. Notification within two months of discovery is in any event timely.

  3. If a defect manifests itself within one year of delivery, it shall be presumed, in accordance with article 7:18 paragraph 2 of the Dutch Civil Code, that the defect was already present at the time of delivery, unless the nature of the Product or the nature of the defect precludes this.

  4. Buyer shall return a defective Product only after prior consultation with Seller and in the manner indicated by Seller. The costs of return shipment of a defective Product are borne by Seller.

  5. In the event of a defect, Buyer is entitled to repair or replacement in accordance with article 7:21 of the Dutch Civil Code. If repair or replacement is impossible, cannot be required of Seller, or does not take place within a reasonable period or without serious inconvenience to Buyer, Buyer is entitled, in accordance with article 7:22 of the Dutch Civil Code, to rescission of the Agreement or to a proportionate price reduction, on the understanding that rescission is excluded if the deviation from what was agreed is of minor significance.

  6. In the event of an incomplete delivery, Seller shall send the missing Product on, or shall cancel the Products concerned and refund the amount paid for them within fourteen days, at the option of Buyer.

Article 10 - Prices

  1. The prices stated in the Offer are inclusive of the value added tax payable by law and exclusive of shipping costs.

  2. In the case of delivery outside the European Union, the tax rate applicable on export shall apply. Seller states in the Offer the amount payable by Buyer. The provisions of article 7 paragraph 7 remain applicable.

  3. During the period of validity stated in the Offer, or, failing that, during the period in which the Offer is available on the Website, the prices of the Products offered shall not be increased, save for price changes resulting from changes in tax rates.

  4. A price change has no consequences for Agreements already formed.

  5. Seller invoices in euros, unless another currency is expressly offered on the Website. If Buyer pays in a currency other than the currency of invoicing, the associated conversion and transaction costs of the payment service provider or the bank of Buyer are borne by Buyer. Seller states the total amount payable by Buyer before the order is definitively placed.

Article 11 - Payment and collection policy

  1. Payment is made in advance, in the currency in which the invoice is issued and by means of the payment methods offered on the Website, unless expressly agreed otherwise In Writing.

  2. If Buyer uses a payment method involving deferred payment under which the claim of Seller is assigned or pledged to a third party, payment shall be discharging only if made to that third party. Seller shall notify Buyer of the assignment or pledge upon ordering. The conditions of the provider concerned also apply to that payment method.

  3. Buyer shall notify Seller without delay of any inaccuracies in the payment data provided or stated.

  4. If Buyer fails to meet Buyer's payment obligation in good time, Seller shall send Buyer a reminder In Writing granting Buyer a period of fourteen days from the day of receipt of that reminder in which to pay after all, stating the extrajudicial costs that will become payable if payment fails to be made within that period. Buyer shall be in default only after the expiry of that period.

  5. From the day on which Buyer is in default, Buyer owes the statutory interest referred to in article 6:119 of the Dutch Civil Code until the day of payment in full, as well as the extrajudicial collection costs, calculated in accordance with article 6:96 of the Dutch Civil Code and the Decree on compensation for extrajudicial collection costs.

  6. In the event of bankruptcy, suspension of payments, attachment or placement under administration of Buyer, the claims of Seller become immediately due and payable.

  7. The judicial and enforcement costs reasonably incurred by Seller in obtaining payment out of court and in court are borne by Buyer, subject to the provisions of article 237 et seq. of the Dutch Code of Civil Procedure.

Article 12 - Retention of title

  1. All Products delivered by Seller remain the property of Seller until Buyer has fully complied with all obligations arising from the Agreement concerned. If the claim of Seller against Buyer has been assigned or pledged to a third party in accordance with article 11 paragraph 2, payment to that third party shall for the purposes of this article count as performance towards Seller and title shall pass to Buyer at that moment.

  2. Buyer is not authorised to pledge or otherwise encumber the Products subject to retention of title for as long as title has not passed.

  3. If third parties attach the Products delivered subject to retention of title, or wish to establish or assert rights over them, Buyer shall notify Seller thereof without delay.

  4. Seller is entitled to retain the Products for as long as Buyer has not fully complied with Buyer's payment obligations. After Buyer has complied with Buyer's obligations after all, Seller shall deliver the Products to Buyer within ten working days of receipt of payment in full.

Article 13 - Conformity and guarantee

  1. Seller warrants that the Products conform to the Agreement, to the specifications stated in the Offer, to the reasonable requirements of soundness and usability and to the statutory provisions and government regulations in force on the date of formation of the Agreement.

  2. The statutory rights of Buyer under article 7:17 et seq. of the Dutch Civil Code remain in full force. Any commercial guarantee provided by Seller, Seller's supplier or the manufacturer constitutes solely an addition thereto and does not detract from those statutory rights.

  3. Seller warrants against defects in the manufacture of the Product, including defects in the knotting of the hair, in the lace and in the cap.

  4. In assessing what Buyer may expect on the basis of the Agreement, account shall be taken of the fact that the Products consist wholly or partly of natural hair and that discolouration, fading, drying out, tangling, breakage and hair loss resulting from wearing, washing, styling, dyeing or otherwise treating the Product, as well as resulting from failure to observe the instructions for use referred to in article 14, are characteristics inherent in the use of such Products. The provisions of paragraph 2 remain fully applicable.

  5. No claim can be made under the guarantee referred to in paragraph 3 if the Product has been treated or repaired by Buyer or by a third party engaged by Buyer, in so far as the defect was caused by that treatment or repair, unless that treatment or repair took place with the prior consent of Seller.

  6. The guarantee referred to in paragraph 3 applies for [number] months after delivery. This guarantee does not affect the statutory rights of Buyer, which are independent of this period.

Article 14 - Instructions for use of the Products

  1. Buyer shall observe the instructions for use and maintenance provided by Seller with the Product. These instructions are also made available on the Website.

  2. Buyer is aware that the hair of the Product is not nourished by a scalp and therefore dries out, tangles and breaks more quickly than one's own hair, and that the Product consequently requires more intensive maintenance.

  3. Buyer shall not wash the Product more often than once every [number] wearings, or more often than the instruction enclosed with the Product indicates, and shall use only mild, sulphate-free and alcohol-free care products. Buyer shall allow the Product to air dry after washing and shall brush it only from the ends towards the roots.

  4. Exposure to sunlight, ultraviolet light, chlorinated water, salt water, perspiration, heat sources, perfume, hairspray and other care and cleaning products may lead to discolouration, fading, drying out, tangling or deterioration of the Product. Buyer shall protect the Product against such influences. Buyer shall not expose the Product to a temperature exceeding [number] degrees Celsius and shall always use a heat protectant when using heat sources. The consequences of exposure are for the account and risk of Buyer.

  5. Buyer shall store the Product in the packaging supplied for that purpose or on a wig stand, in a dry and dark place, and shall not wear the Product while sleeping, swimming or playing sports.

  6. Cutting or trimming the lace, thinning, dyeing, bleaching or perming the hair and any other permanent treatment of the Product are entirely for the account and risk of Buyer. Seller advises that such work be carried out only by a specialised professional.

  7. Prior to using glue, tape or other fixing products, Buyer shall carry out a skin test on a small area of skin and shall wait for the period prescribed for that purpose. Buyer shall discontinue use immediately upon signs of irritation, redness, itching or hypersensitivity and shall consult a physician if necessary.

  8. Buyer shall not wear the Product on a damaged, irritated or inflamed scalp.

  9. Failure to observe the instructions set out in this article does not affect the statutory rights of Buyer, but shall be taken into account in assessing whether there is a defect as referred to in article 13 and in determining the extent to which the damage is attributable to Buyer within the meaning of article 6:101 of the Dutch Civil Code.

Article 15 - Product safety and product information

  1. Seller places on the market only Products that comply with the applicable safety requirements, including the requirements of Regulation (EU) 2023/988 on general product safety.

  2. Seller states in the Offer the name and contact details of the manufacturer and of the economic operator responsible within the European Union, an identification of the Product and, in so far as applicable, the warnings and safety information included on the Product, on the packaging or in an accompanying document.

  3. Seller holds for every Product a copy of the technical documentation, in which the composition and the treatment of the hair, the auxiliary substances used and the risk assessment carried out are recorded, keeps that documentation at the disposal of the market surveillance authorities for ten years after the Product has been placed on the market, and maintains a register of complaints, of non-conforming Products and of recalled or withdrawn Products.

  4. Buyer shall report an accident or a safety risk relating to a Product to Seller without delay. Seller shall handle such a report in accordance with the statutory obligations resting on Seller, including the obligations to notify and to take corrective measures vis-à-vis the competent authorities.

  5. Seller states on the Product or, if this is not possible given the nature or the size of the Product, on the packaging or in a document accompanying the Product, Seller's name, Seller's trade name and the postal address and the electronic address at which Seller can be reached.

Article 16 - Suspension and rescission

  1. Seller is authorised to suspend performance of Seller's obligations or to rescind the Agreement if Buyer fails to comply, or fails to comply fully, with Buyer's obligations under the Agreement, after Buyer has come to be in default.

  2. Seller is authorised to rescind the Agreement wholly or in part if circumstances arise of such a nature that performance is impossible or that unaltered continuation of the Agreement cannot reasonably be required of Seller according to standards of reasonableness and fairness.

  3. Buyer is authorised to suspend performance of Buyer's obligations or to rescind the Agreement in accordance with the provisions of the law, including the provisions of article 7 paragraph 2 and article 9 paragraph 5.

  4. If the Agreement is rescinded, Seller shall refund the payments already made by Buyer within fourteen days of the rescission, less any amount owed by Buyer under these general terms and conditions.

  5. Upon rescission of the Agreement, Parties are mutually obliged to undo the performances already received in accordance with article 6:271 of the Dutch Civil Code. Buyer shall return the Products already delivered within fourteen days of the rescission, in the manner indicated by Seller and, if the rescission is attributable to Buyer, at the expense of Buyer.

  6. Seller is entitled to refuse future orders from Buyer if Buyer systematically exercises the Right of Withdrawal in a manner exceeding the bounds of reasonableness and fairness, including in any event the repeated return of Products the Seal of which has been broken. Seller shall communicate such a refusal with reasons.

Article 17 - Limitation of liability

  1. If Seller is liable towards Buyer under or in connection with the Agreement, that liability is limited to the higher of the following two amounts: (i) the amount charged by Seller to Buyer in connection with the Agreement concerned, or (ii) the amount actually paid out by the liability insurer of Seller in respect of the event concerned, increased by the deductible applicable under the policy.

  2. The limitation set out in paragraph 1 does not affect the liability of Seller for damage resulting from death or personal injury, the liability under Title 3 Section 3 of Book 6 of the Dutch Civil Code concerning product liability, or the liability for damage resulting from intent or wilful recklessness on the part of Seller.

  3. Seller is not liable for consequential damage, indirect damage, loss of profit and lost savings, subject to the provisions of article 7:24 paragraph 2 of the Dutch Civil Code.

  4. Seller is not liable for damage resulting from failure to observe the instructions for use referred to in article 14, from treating, cutting, dyeing or otherwise altering the Product, or from the use of fixing products without the skin test prescribed in article 14 paragraph 7. The provisions of this paragraph do not affect the provisions of paragraph 2 and do not purport to limit or exclude the liability of Seller for damage resulting from death or personal injury or the liability under Title 3 Section 3 of Book 6 of the Dutch Civil Code.

  5. Seller is not liable for malfunctions in or the temporary unavailability of the Website, nor for inaccuracies in the content of third-party websites referred to on the Website.

  6. The limitations and exclusions set out in this article apply only in so far as mandatory law does not preclude them.

  7. The legal claim of Buyer becomes time-barred in accordance with the provisions of the law, including article 7:23 paragraph 2 of the Dutch Civil Code.

Article 18 - Force majeure

  1. Seller is not obliged to perform any obligation, and is not liable for the resulting damage, if Seller is prevented from doing so as a result of a circumstance that is not attributable to Seller's fault and that is not for Seller's account under the law, a juridical act or generally accepted principles, in accordance with article 6:75 of the Dutch Civil Code. For the duration of that circumstance, the obligations of Parties shall be suspended in accordance with paragraph 3.

  2. Force majeure shall in any event include, but is not limited to, force majeure on the part of suppliers of Seller, the failure or shortcoming of carriers, disruptions in supply from third countries, customs measures, trade restrictions and sanctions measures, government measures, epidemics, natural disasters, war and terrorist attacks, general transport problems, strikes, malfunctions in electricity, internet, data network and telecommunications facilities, as well as cybercrime.

  3. For the period during which the force majeure continues, Parties may suspend performance of their obligations. If that period lasts longer than one month, either Party is entitled to rescind the Agreement, without any obligation to compensate the other Party for damage.

  4. Upon rescission pursuant to paragraph 3, Seller shall refund the payments already made by Buyer within fourteen days, in so far as no delivery was made in return.

Article 19 - Passing of risk

  1. The risk of loss of or damage to the Products passes to Buyer at the moment at which Buyer or a third party designated by Buyer, not being the carrier, has taken physical possession of the Products.

  2. If Buyer instructs or authorises the carrier to deliver the Products at an address other than the delivery address stated by Buyer, at a neighbouring address or at a collection point, the risk passes at the moment of that delivery. Delivery at another address, at a neighbouring address or at a collection point that is not based on a demonstrable and prior instruction or authorisation of Buyer, but that has been chosen unilaterally by the carrier, leaves the risk with Seller. The burden of proof that Buyer gave such an instruction or authorisation rests on Seller.

  3. If Buyer designates a carrier and that carrier was not offered as an option by Seller, the risk passes at the moment at which Seller makes the Products available to that carrier.

  4. The risk of the return shipment in the context of the Right of Withdrawal rests with Buyer. The risk passes to Seller at the moment at which Seller has taken physical possession of the Product.

Article 20 - Intellectual property rights

  1. All intellectual property rights in respect of the Website, the trade name, the logo, the trade marks, the product images, the texts and the other visual material of Seller vest exclusively in Seller or in Seller's licensors, and are not transferred to Buyer by the Agreement.

  2. Buyer is not permitted to publish, reproduce, alter or make available to third parties the materials referred to in paragraph 1, other than with the prior consent of Seller In Writing.

  3. Buyer purchases the Products for personal use. Buyer is not permitted to resell the Products in the course of a profession or business, nor to use the trade name, the trade marks or the visual material of Seller in doing so. In the event of a breach of the provisions of this paragraph, Seller is entitled to rescind the Agreement in accordance with article 16 and to refuse future orders in accordance with article 4 paragraph 5, without prejudice to Seller's right to performance, cessation and full compensation of the damage actually suffered.

Article 21 - Privacy, data processing and security

  1. Seller processes the personal data of Buyer and of visitors to the Website in accordance with the General Data Protection Regulation. The manner in which and the purposes for which Seller processes personal data, the retention periods applied and the rights of data subjects are described in the privacy statement of Seller, published on the Website.

  2. Seller provides personal data to third parties only in so far as this is necessary for the performance of the Agreement or for compliance with a statutory obligation, including to carriers, payment service providers and the tax authorities.

  3. Seller retains the records of which the personal data of Buyer form part for the statutory retention period, including the period of seven years pursuant to article 52 of the Dutch General State Taxes Act.

  4. Seller takes appropriate technical and organisational measures to secure the personal data, having regard to the state of the art, the nature of the data and the risks associated therewith.

  5. Seller places cookies and comparable techniques on the Website in accordance with article 11.7a of the Dutch Telecommunications Act and the information published on the Website in that regard.

  6. In so far as performance of the Agreement requires the transfer of personal data to a country outside the European Economic Area, including transfer to foreign carriers and customs authorities, that transfer shall take place solely in accordance with Chapter V of the General Data Protection Regulation. Seller does not provide personal data of Buyer to Seller's suppliers.

Article 22 - Discount Codes

  1. Seller may issue Discount Codes. These general terms and conditions and the special conditions set at the time of issue apply to every Discount Code.

  2. A Discount Code cannot be exchanged for money, is not transferable and cannot be combined with other Discount Codes or special offers, unless expressly stated otherwise.

  3. A Discount Code is valid for the period of validity stated at the time of issue and may be used once per Buyer, unless expressly stated otherwise.

  4. Upon exercise of the Right of Withdrawal, the discount obtained by means of the Discount Code shall not be paid out. Seller shall refund only the amount actually paid by Buyer.

  5. Seller is entitled to withdraw a Discount Code or to declare it invalid upon a reasonable suspicion of abuse, of fraud or of use contrary to the conditions set at the time of issue. Seller shall communicate the withdrawal to Buyer with reasons.

  6. Seller does not issue gift vouchers.

  7. If Buyer exercises the Right of Withdrawal in respect of part of the order, and as a result the conditions under which the Discount Code was granted are no longer met, the amount to be refunded shall be recalculated on the basis of the prices that would have applied to the retained Products without application of the Discount Code. Seller shall communicate that recalculation to Buyer with reasons.

Article 23 - Complaints

  1. Buyer shall submit complaints about the Products or about the performance of the Agreement to Seller by electronic means within a reasonable period after Buyer has established the defects, fully and clearly described.

  2. Seller shall respond to a complaint within fourteen days of receipt. If a complaint requires a longer processing time, Seller shall confirm receipt within that period and shall indicate within what period Buyer may expect a substantive response.

  3. Parties shall endeavour to reach a solution jointly.

  4. The submission of a complaint does not affect the rights of Buyer under the law and the Agreement.

  5. Buyer whose habitual residence is in a Member State of the European Union other than the Netherlands may also submit a complaint to the European Consumer Centre of Buyer's country of residence. This possibility does not affect the right of Buyer to apply to the competent court.

Article 24 - Amendment of these general terms and conditions

  1. Seller is entitled to amend these general terms and conditions. An amendment applies only to Agreements formed after the date of entry into force of the amendment.

  2. The version of the general terms and conditions accepted by Buyer in accordance with article 2 paragraph 3 upon entering into the Agreement shall always apply to an Agreement already formed. Seller archives every version of these general terms and conditions stating the date of entry into force and makes the version applicable to the Agreement available to Buyer upon first request.

Article 25 - Applicable law and disputes

  1. Dutch law applies to every Offer and to every Agreement between Seller and Buyer. The applicability of the Vienna Sales Convention is expressly excluded.

  2. The choice of law set out in paragraph 1 does not affect the protection enjoyed by Buyer under the mandatory provisions of the law of the country in which Buyer has Buyer's habitual residence, in so far as article 6 of Regulation (EC) No 593/2008 so requires.

  3. Disputes arising from or connected with an Agreement shall be submitted to the competent court of the District Court of Noord-Holland, subject to the applicable rules on subject-matter and territorial jurisdiction and the internal allocation of locations. Buyer nevertheless retains the power to bring the dispute before the court having jurisdiction by law, provided Buyer so chooses within one month after Seller has invoked this choice of forum In Writing, in accordance with article 108 paragraph 2 of the Dutch Code of Civil Procedure. In respect of Buyer whose domicile is in a Member State of the European Union, Section 4 of Chapter II of Regulation (EU) No 1215/2012 applies, pursuant to which Buyer may be sued only in the courts of the Member State in which Buyer is domiciled.

  4. In the event of interpretation of the content and purport of these general terms and conditions, the Dutch text shall always prevail, subject to the provisions of article 2 paragraph 4 and article 2 paragraph 8.
